Terms and Conditions

Please read these Terms and Conditions carefully before using QuickSum.AI. By creating an account, purchasing a subscription, starting a free trial, or otherwise using the Service, you agree to be bound by these Terms.

1. Agreement and Parties

These Terms and Conditions ("Terms") form a legally binding agreement between you ("Customer," "you," or "your") and Nexior Ventures LLC, a Wyoming limited liability company with its registered address at 30 N Gould St, Ste R, Sheridan, WY 82801, United States ("Company," "we," "us," or "our").

By accessing or using QuickSum.AI (the "Service"), you confirm that you:

• Are at least 18 years old or the age of majority in your jurisdiction;
• Have the legal authority to enter into a binding contract;
• Are not barred from using the Service under applicable law;
• Will use the Service in compliance with these Terms and applicable laws.

If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. The Service

QuickSum.AI is a Software-as-a-Service (SaaS) platform that enables content publishers (such as bloggers and YouTube creators) to embed lead-capture widgets on their websites and content pages. End Users (visitors to the Customer's content) submit their email address to receive an AI-generated summary of an article or video.

2.1 What You Receive

• Access to the QuickSum.AI hosted platform and dashboard.
• Embeddable widget code for integration on your website or content pages.
• AI-powered summary generation engine using your provided AI provider API key (BYOK).
• Direct delivery of End User emails to your own email service provider, CRM, or workflow automation tool — using your own account credentials (also BYOK).
• Summary library and per-URL approval workflow.
• Configuration and customization tools for widget appearance and behavior.
• Analytics dashboard with aggregated performance data.
• Customer support via email.
• Product updates and improvements during the term of your subscription or license.

2.2 Bring Your Own Key (BYOK) Model

QuickSum.AI operates on a Bring Your Own Key (BYOK) model for both AI processing and email delivery. You maintain your own accounts and API credentials with the third-party providers used by the Service:

(a) AI Provider — used for summary generation. You are responsible for:

• Maintaining a valid API account with an AI provider of your choice.
• Providing your API key to our platform for AI summary generation.
• All AI usage costs incurred through your provider account. AI usage is typically the largest variable cost of operating the Service.
• Compliance with your AI provider's terms of service.

(b) Email Service Provider, CRM, or Workflow Automation Tool — used for delivering End User emails and managing your subscriber list. You are responsible for:

• Maintaining a valid account with the provider(s) of your choice.
• Providing your API key or credentials to our platform.
• All costs charged by those providers (sending fees, contact-tier pricing, etc.).
• Compliance with each provider's terms of service.

We do not mark up, resell, or take a percentage of your third-party provider costs. The QuickSum.AI subscription or lifetime fee covers only the platform itself — widget hosting, summary library, approval workflow, delivery orchestration, analytics, and support. We are not the AI provider or the email service provider, and we do not have a direct contractual relationship with those providers for content processing or email delivery on your behalf.

2.3 End User Data Flow

When an End User submits their email address through a QuickSum.AI widget on your website, that email is transmitted in transit only and delivered directly to the destination you have configured (your email service provider, CRM, or workflow automation tool). QuickSum.AI does not retain End User email addresses. You are the data controller for End User information. See our Privacy Policy for further details.

3. Pricing and Payment

3.1 Subscription Plans

QuickSum.AI offers two pricing structures:

• Monthly Subscription: $99 per month, billed monthly. Regular price: $124 per month.
• Lifetime License: Starting at $797 one-time payment. Regular price: $997. Additional pricing tiers may be offered to qualifying partners, affiliates, or under promotional campaigns and will be communicated privately at the time of the offer.

Both plans include a 30-day free trial. No charge is incurred during the trial period. At the end of the 30-day trial, your selected plan begins billing automatically unless you cancel before the trial ends.

Promotional, partner, or VIP pricing may be offered from time to time and is governed by the specific terms communicated at the time of the offer.

3.2 Payment Processing

Payment is processed through Systeme.io, our checkout and billing platform, which uses major credit-card payment processors. We accept major credit and debit cards (Visa, Mastercard, American Express, Discover) and supported online payment methods. Payments are subject to validation checks and authorization by your card issuer or payment provider.

3.3 Recurring Billing (Monthly Subscriptions)

Monthly subscriptions automatically renew at the end of each billing period. By subscribing, you authorize us (through Systeme.io and its underlying payment processors) to charge your payment method on a recurring basis until you cancel. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused portions of a billing period.

3.4 Lifetime License Terms

A "Lifetime License" entitles you to access and use QuickSum.AI without recurring subscription fees for as long as the Service remains operational. We commit to operating the Service in good faith but cannot guarantee perpetual operation. In the event the Service is discontinued, lifetime license holders will be notified and, where reasonably possible, provided with data export or migration assistance.

3.5 Taxes

Prices displayed are exclusive of applicable taxes unless otherwise stated. You are responsible for any sales tax, VAT, GST, or other taxes applicable to your purchase based on your billing location. Where required by law, we will collect and remit such taxes through our checkout platform.

3.6 Failed Payments and Third-Party Account Issues

If a payment fails, we will attempt to retry the charge. After repeated failed attempts, we may suspend or terminate your access to the Service. You are responsible for keeping your payment information current.

QuickSum.AI subscription fees are independent of your AI provider and ESP/CRM charges. Failure, suspension, or rate-limiting of your third-party accounts may impact Service functionality but does not affect your QuickSum.AI billing obligations or entitle you to a refund of QuickSum.AI fees.

3.7 Price Changes

We reserve the right to change pricing for new subscriptions at any time. Existing Monthly Subscribers will be notified at least 30 days before any price increase takes effect. Lifetime License holders are not subject to recurring price changes for their licensed plan.

4. Refund Policy

4.1 30-Day Money-Back Guarantee

We offer a 30-day money-back guarantee on both Monthly subscriptions and Lifetime licenses, subject to the following conditions:

• The refund request must be submitted within 30 days of the initial paid charge (not the trial start date).
• You must contact our support team at support@quicksum.ai with your refund request.
• You must provide your account email and reason for the refund request.
• Refunds are processed to the original payment method through our checkout platform.
• Refund processing typically takes 5–14 business days, depending on your payment provider.
• Upon refund issuance, your account access is immediately revoked. Continued use of the Service after a refund constitutes unauthorized access and is grounds for legal action.
• Lifetime licenses are limited to one refund per Customer. Customers who have previously refunded a Lifetime license are not eligible for a second Lifetime refund.

4.2 Refund Limitations

Refunds are not available for:

• Requests submitted after the 30-day window.
• Subsequent renewal billing cycles after the initial payment (Monthly subscribers must cancel before renewal to avoid charges).
• Accounts terminated for violation of these Terms.
• Third-party service costs (such as your AI provider charges, ESP/CRM fees, or workflow tool subscriptions). These must be addressed directly with the respective provider. QuickSum.AI cannot refund charges incurred on accounts we do not control.

4.3 Statutory Rights

Nothing in this section limits any non-waivable consumer rights you may have under applicable law.

5. Trial Period

New Customers receive a 30-day free trial of QuickSum.AI. During the trial:

• You have full access to the features of your selected plan.
• No payment is charged during the trial.
• A valid payment method is required to start the trial; it is authorized but not charged.
• You may cancel at any time during the trial without charge.
• If you do not cancel before the trial ends, your selected plan begins billing automatically.
• Trials are limited to one per Customer. Creating multiple accounts to obtain additional trials is prohibited.

6. Account Registration and Security

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password confidential and not share it with others.
• Be responsible for all activity that occurs under your account.
• Notify us immediately at support@quicksum.ai of any unauthorized access or security breach.

We reserve the right to suspend or terminate accounts that violate these Terms or are used for prohibited purposes.

7. Acceptable Use

7.1 Permitted Use

You may use QuickSum.AI only for lawful purposes and in accordance with these Terms. You may deploy the widget on websites and content you own or have authorization to modify.

7.2 Prohibited Conduct

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any applicable law.
• Send unsolicited bulk email (spam) or violate anti-spam laws including CAN-SPAM, CASL, and GDPR.
• Collect End User email addresses without their informed consent or in violation of applicable privacy laws.
• Deploy the widget on websites containing illegal content, hate speech, harassment, or content that violates third-party rights.
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Use automated systems (bots, scrapers) to access the Service except as expressly permitted.
• Resell, sublicense, or redistribute the Service to third parties without our written permission.
• Use the Service to compete with us or to develop a competing product.
• Submit false, misleading, or fraudulent information in connection with your account or refunds.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Bypass technical limitations, rate limits, or access controls.

7.3 Content Restrictions

You may not use the Service in connection with content that promotes violence, illegal activity, sexually explicit material, child exploitation, hate speech, or other content prohibited by our payment processors' acceptable use policies.

8. Customer Responsibilities and Data Compliance

As a Customer, you are responsible for:

• Maintaining your own privacy policy that discloses your use of QuickSum.AI to your visitors.
• Establishing a lawful basis under GDPR, CCPA, or other applicable laws for collecting End User email addresses.
• Obtaining valid consent where required.
• Honoring End User rights requests including access, deletion, correction, and objection — directly through your email service provider, CRM, or other configured destination where End User data is stored.
• Including accurate disclosures and opt-out mechanisms in any marketing emails sent to collected addresses.
• Compliance with anti-spam laws applicable to your audience (CAN-SPAM, CASL, GDPR ePrivacy, etc.).
• Ensuring your AI provider account complies with that provider's terms of service.
• Configuring widget consent and disclosure language appropriate to your audience.

9. Affiliate Program

We operate an affiliate program through Systeme.io, our checkout and affiliate management platform. The program is governed by separate Affiliate Program Terms, which apply in addition to these Terms.

9.1 Commission Structure

Default commission rates are as follows, subject to the Affiliate Program Terms:

• Tier 1 (direct referrals): 50% commission on qualifying Customer purchases.
• Tier 2 (sub-affiliate referrals): 30% commission on qualifying purchases referred by your sub-affiliates.

Commission rates may differ for specific affiliate programs, partnership tiers, or promotional campaigns. Current rates and conditions applicable to your affiliate account are displayed in your affiliate dashboard. Commissions are calculated on the net amount paid by the referred Customer, after refunds and chargebacks. Commission payments are processed monthly via supported payout methods, subject to a minimum payout threshold and a default payout delay (30 days from the qualifying transaction).

9.2 Affiliate Visibility into Referred Customers

9.3 Affiliate Obligations

Affiliates must:

• Comply with FTC disclosure requirements and equivalent local advertising laws.
• Use only approved marketing materials or content that accurately represents the Service.
• Refrain from making misleading earnings claims, false testimonials, or unsubstantiated representations.
• Not engage in spam, cookie stuffing, brand bidding on QuickSum.AI trademarks, or other prohibited promotional practices.
• Handle referred customer information in compliance with applicable privacy laws (GDPR, CCPA, etc.).
• Use referred customer information only for purposes related to the referral relationship and post-purchase support.
• Not use referred customer information for unsolicited marketing campaigns unrelated to QuickSum.AI without obtaining the customer's separate consent.
• Comply with applicable tax reporting obligations.

We reserve the right to terminate affiliate accounts and withhold or reverse commissions for violations of these Terms or the Affiliate Program Terms.

10. Intellectual Property

10.1 Our Intellectual Property

The QuickSum.AI Service, including all software, code, documentation, designs, trademarks, logos, and content (excluding Customer Content), is owned by Nexior Ventures LLC and protected by copyright, trademark, and other intellectual property laws.

10.2 License to You

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose during your subscription or license term.

10.3 Customer Content

You retain ownership of all content you provide to the Service, including widget configurations, branding assets, and articles or videos processed by the Service ("Customer Content"). You grant us a limited license to use Customer Content solely to provide and improve the Service.

10.4 Feedback

If you provide suggestions, feedback, or improvement ideas regarding the Service, you grant us a perpetual, royalty-free, worldwide license to use such feedback without restriction or compensation.

10.5 Restrictions

You may not:

• Copy, modify, or create derivative works of the Service.
• Reverse-engineer or attempt to extract source code from the Service.
• Remove or alter any proprietary notices, trademarks, or branding.
• Use our trademarks without prior written permission.

11. AI Processing and Disclaimers

The Service uses artificial intelligence (AI) — large language models from providers chosen by you — to generate summaries of article and video content based on your provided AI API key.

11.1 Approval Workflow

QuickSum.AI implements a per-URL approval workflow as part of its standard operation. Generated summaries are subject to review and approval (by you or by us as configured) before they are made available to End Users. This human-in-the-loop step is designed to maintain summary quality and reduce the risk of inaccurate or harmful AI-generated content reaching End Users. Approval workflow rules are described in the platform documentation and may be updated from time to time.

11.2 AI Limitations

AI-generated content may occasionally contain inaccuracies, omissions, or interpretations that differ from the source material. The Service should not be relied upon for critical, medical, legal, financial, or safety decisions. You are responsible for reviewing summaries before approving or distributing them.

11.3 Article 22 GDPR

The Service does not make automated decisions that produce legal or similarly significant effects on individuals as defined under Article 22 of the GDPR. The combination of AI generation and the per-URL approval workflow ensures that the content delivered to End Users involves a meaningful human review step.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, secure, or error-free.
• The Service will meet your specific requirements or expectations.
• Any errors or defects will be corrected.
• The Service is compatible with all third-party systems or configurations.
• Results from the use of the Service will be accurate, reliable, or achieve any particular outcome.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXIOR VENTURES LLC, ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITY
• LOSS OF DATA OR DATA BREACH (EXCEPT WHERE CAUSED BY OUR GROSS NEGLIGENCE)
• LOSS OF GOODWILL OR REPUTATION
• SERVICE INTERRUPTION OR SYSTEM FAILURE
• COSTS OF SUBSTITUTE SERVICES
• THIRD-PARTY PROVIDER COSTS (AI, ESP/CRM, OR WORKFLOW TOOLS)

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. THE LIMITATIONS ABOVE APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless Nexior Ventures LLC, its officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service in violation of these Terms or applicable law.
• Your collection, use, or processing of End User personal data.
• Content you provide, deploy, or distribute through the Service.
• Your violation of any third-party rights including intellectual property or privacy rights.
• Disputes between you and your End Users.

15. Termination

15.1 Termination by You

You may cancel your subscription or close your account at any time through your account settings or by emailing us at support@quicksum.ai. Cancellation takes effect at the end of your current billing period.

15.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without notice, if:

• You violate these Terms or applicable law.
• Your account shows signs of fraudulent or abusive activity.
• Your payment fails and is not resolved within a reasonable period.
• Continued provision of the Service to you would expose us to legal liability.
• We are required to do so by law or court order.

15.3 Effect of Termination

Upon termination, your right to access the Service ends. We may retain account data for the period necessary to comply with legal obligations as described in our Privacy Policy. Sections of these Terms that by their nature survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and miscellaneous) shall survive.

15.4 Service Discontinuation

We reserve the right to discontinue the Service with reasonable advance notice to active Customers. In such case, we will provide a pro-rata refund for prepaid Monthly subscriptions, and lifetime license holders will receive notice and reasonable assistance with data export.

16. Modifications to the Service and Terms

16.1 Service Changes

We continuously develop and improve the Service. We reserve the right to add, modify, or remove features at any time. We will provide reasonable notice for material changes that materially affect Customer use of the Service.

16.2 Changes to These Terms

We may update these Terms from time to time. When we do, we will:

• Update the "Last Updated" date at the top of this page.
• Notify active Customers by email for material changes.
• Provide at least 30 days' advance notice before material changes take effect for existing Customers.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the changes. If you do not agree to changes, you must discontinue use of the Service before the changes take effect.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms and any disputes arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17.2 Informal Resolution

Before initiating any formal proceeding, you agree to first contact us at support@quicksum.ai and attempt to resolve the dispute informally. Most disputes can be resolved through direct communication.

17.3 Jurisdiction

Subject to non-waivable consumer protections under applicable law, any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Wyoming, United States, and you consent to the jurisdiction of such courts.

17.4 Limitation Period

Any claim arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action arises, or it will be permanently barred.

18. Miscellaneous

18.1 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any applicable Affiliate Program Terms, constitute the entire agreement between you and Nexior Ventures LLC regarding the Service and supersede all prior agreements and understandings.

18.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

18.3 No Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. No waiver is effective unless in writing and signed by us.

18.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

18.5 Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, third-party service outages, or pandemics.

18.6 Independent Contractors

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Nexior Ventures LLC.

18.7 Notices

Notices to us must be sent to support@quicksum.ai or our registered address. Notices to you will be sent to the email address associated with your account.

18.8 Language

These Terms are drafted in English. Any translations are provided for convenience only; in case of conflict, the English version controls.
